1. Introduction
Welcome to LeadBoat.
These Terms and Conditions (“Terms”, “Terms and Conditions”) govern your access to and use of the LeadBoat website at leadboat.in, our mobile applications, and all related services (together, the “Service”) operated by LeadBoat Technologies Pvt. Ltd. (“we”, “us”, “our”).
By creating an account, subscribing to, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use the Service.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and LeadBoat regarding the Service (the “Agreement”) and supersede any prior understanding.
2. Definitions
SERVICE means the LeadBoat website, mobile applications, APIs, integrations and all related products and services operated by LeadBoat Technologies Pvt. Ltd.
ACCOUNT means the registered profile that grants you access to the Service and its features.
USER, YOU and YOUR refer to the individual or entity accessing or using the Service.
SUBSCRIPTION means any paid or trial plan that entitles you to use the Service for a defined period.
USER CONTENT means any data, leads, contacts, notes, documents, files or other information you or your team upload, submit, or store on the Service.
LEAD DATA means prospect and customer records captured through integrations, manual entry, or any other channel connected to the Service.
FEES means all charges, subscription costs, or other amounts payable by you under these Terms.
3. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract under applicable law to use the Service. By accessing the Service, you represent and warrant that you meet these eligibility requirements.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity and its authorised users.
4. Account Registration
To access most features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information to keep it accurate and current.
- Keep your password and login credentials confidential and secure.
- Notify us immediately at info@leadboat.in if you suspect any unauthorised access to or use of your account.
You are solely responsible for all activity that occurs under your account, whether or not authorised by you. We are not liable for any loss or damage arising from your failure to comply with these security obligations.
5. Subscription & Billing
LeadBoat offers the Service on a subscription basis. By subscribing to a paid plan, you agree to:
- Pay all applicable Fees in accordance with the plan you select, as published on our website or quoted by our team.
- Provide a valid payment method and authorise us (or our payment processors) to charge recurring Fees for the duration of your subscription.
- Be responsible for all taxes, duties, and levies applicable to your use of the Service.
Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle at the then-current rate. You may cancel auto-renewal at any time through your account settings or by contacting info@leadboat.in. Fees already paid are generally non-refundable except as required by law or expressly stated in these Terms.
We reserve the right to change subscription Fees at any time. Any price change will take effect from the next billing cycle and will be communicated to you with reasonable advance notice.
6. Free Trial
We may, at our sole discretion, offer a free trial of the Service for a limited duration. At the end of the trial period:
- Your subscription may automatically convert to a paid plan at the published rate unless you cancel before the trial ends.
- Trial accounts may be restricted in terms of features, usage limits, or number of users.
- We may modify or terminate any free trial offer at any time without notice.
The free trial is provided on an “as is” basis with no warranties, and we reserve the right to refuse trial access to anyone.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for managing real estate leads, clients, and sales pipelines for legitimate business activities.
You are responsible for ensuring that any lead, contact, or data you upload to the Service has been collected in compliance with applicable privacy laws, including India’s Digital Personal Data Protection Act, GDPR (where applicable), and any other data protection regulations that apply to you.
8. Prohibited Activities
When using the Service, you agree not to:
- Violate any applicable local, state, national, or international law or regulation.
- Use the Service to send unsolicited marketing communications, spam, or any form of harassment.
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service.
- Interfere with or disrupt the integrity, performance, or security of the Service, including introducing viruses, malware, or any other malicious code.
- Share your account credentials with unauthorised third parties, or resell, sublicense, or otherwise commercialise access to the Service without our prior written consent.
- Scrape, crawl, or extract data from the Service except through officially supported APIs.
- Use the Service to stalk, harass, harm, or defraud any individual or entity.
- Impersonate any person or misrepresent your affiliation with any person or entity.
Violation of any of these restrictions may result in immediate suspension or termination of your account, without notice or refund.
9. Intellectual Property Rights
The Service and all its content, features, functionality, design, logos, trademarks, and underlying software are and will remain the exclusive property of LeadBoat Technologies Pvt. Ltd. and its licensors. The Service is protected by copyright, trademark, and other laws of India and foreign jurisdictions.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of LeadBoat. Nothing in these Terms grants you any right to use the LeadBoat name, logo, or branding except as expressly permitted.
10. User Content & Data
You retain all rights, title, and ownership in and to the User Content you upload to the Service. By submitting User Content, you grant LeadBoat a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, and display such content solely to the extent necessary to provide the Service to you.
You represent and warrant that:
- You own, or have the necessary rights, licences, and consents to upload and use your User Content on the Service.
- Your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights.
- You are solely responsible for the accuracy, legality, and appropriateness of your User Content.
We may, but are not obligated to, remove or restrict access to any User Content that we believe violates these Terms or applicable law.
11. Third-Party Integrations
The Service integrates with various third-party platforms and services, including but not limited to Google, Facebook, Housing, Magic Bricks, and 99 Acres. By enabling these integrations, you authorise LeadBoat to access, use, and process information from those services on your behalf, in accordance with our Privacy Policy and the respective third-party terms.
LeadBoat is not responsible for the availability, accuracy, content, or practices of any third-party service. Your use of any third-party service is governed solely by the terms and privacy policies of that third party, and we disclaim all liability arising from your use of them.
12. Service Availability
We strive to keep the Service available and reliable at all times, but we do not guarantee uninterrupted, error-free, or secure access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or unforeseen technical issues.
We reserve the right to modify, suspend, or discontinue any part of the Service, with or without notice, at any time. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
13. Disclaimers
The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, LeadBoat disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will meet your requirements, operate without interruption, be error-free, or that any defects will be corrected. Your use of the Service is at your sole risk.
14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall LeadBoat, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service.
Our total aggregate liability to you for any and all claims arising out of or in connection with the Service, regardless of the cause of action, shall not exceed the total Fees paid by you to LeadBoat in the twelve (12) months immediately preceding the event giving rise to the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless LeadBoat, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
- Your use or misuse of the Service.
- Your violation of these Terms or any applicable law.
- Your violation of any rights of a third party, including intellectual property or privacy rights.
- Any User Content you upload to or transmit through the Service.
16. Termination
We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including (without limitation) if we believe you have violated these Terms or engaged in conduct harmful to us, other users, or the Service.
You may terminate your account at any time by cancelling your subscription through your account settings or by contacting info@leadboat.in. Termination does not entitle you to a refund of any Fees already paid, except as required by law.
Upon termination, your right to access the Service will cease immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
17. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
Before initiating any legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation by contacting us at info@leadboat.in.
18. Changes to Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we do, we will revise the “effective date” at the top of this page and, where changes are material, notify you via email or a prominent notice within the Service.
Your continued use of the Service after any such update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.
